Terms of Service

1. Agreement to Terms
The CartonPilot API and services ("Services") are operated by Mathieu Currie, a sole proprietor based in Vancouver, British Columbia, Canada ("CartonPilot", "we", "us"). By accessing or using the Services, you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
CartonPilot provides a shipping optimization API that helps businesses optimize package packing and reduce shipping costs through 3D bin packing algorithms. Our Services include:
- API access for shipping optimization calculations
- Dashboard for managing API keys and viewing usage analytics
- Pre-configured carrier box templates
- Custom box set management
- Subscription and billing management
3. Account Registration
To use the Services, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials and API keys
- Notify us immediately of any unauthorized access to your account
- Be responsible for all activities that occur under your account
4. API Usage and Rate Limits
Your use of the API is subject to the rate limits and usage quotas associated with your subscription tier. You agree to:
- Not exceed your allocated usage limits without upgrading your subscription
- Not attempt to circumvent rate limiting or abuse the API
- Not use the API for any unlawful purpose or to facilitate illegal activities
- Not reverse engineer, decompile, or attempt to extract the algorithms
- Not resell API access without prior written authorization
5. Subscription and Billing
Paid subscriptions are billed in advance on a monthly basis. You agree to:
- Provide valid payment information and keep it up to date
- Pay all fees associated with your subscription tier
- Pay any overage charges if you have enabled pay-per-use billing
Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
Price Changes: We reserve the right to modify pricing with 30 days notice. Continued use after price changes constitutes acceptance.
6. Intellectual Property
The Services, including all algorithms, software, documentation, and content, are owned by CartonPilot and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
You retain ownership of any data you submit to the Services. By using the Services, you grant us a limited license to process your data solely for the purpose of providing the Services.
7. Data and Privacy
Your use of the Services is also governed by our Privacy Policy. We process API request data only to provide optimization results and do not sell your data to third parties.
8. Service Availability and SLA
We strive to maintain high availability but do not guarantee uninterrupted service. The Services are provided "as is" without warranties of any kind.
For Enterprise customers, service level agreements (SLAs) may be established through separate written agreements.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARTONPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability for any claims arising from your use of the Services shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless CartonPilot, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.
11. Termination
We may suspend or terminate your access to the Services if you materially breach these Terms. Except where immediate action is needed to protect the Services, other customers, or to comply with the law, we will give you written notice describing the breach and at least 10 days to cure it. We may also discontinue the Services entirely on 30 days' written notice, in which case we will refund any prepaid fees covering the period after termination. Upon termination:
- Your right to use the Services immediately ceases
- All API keys associated with your account will be revoked
- You remain responsible for any outstanding fees
12. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Continued use after modifications constitutes acceptance of the updated Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in that province, without regard to conflict-of-laws rules.
Any dispute arising out of these Terms or your use of the Services will be referred to and finally resolved by binding arbitration administered by the Vancouver International Arbitration Centre (VanIAC), with the seat of arbitration in Vancouver, British Columbia, conducted in English before a single arbitrator. The VanIAC Domestic Arbitration Rules apply, except that the VanIAC International Commercial Arbitration Rules apply where the dispute is international.
Nothing in this section prevents either party from applying to a court of competent jurisdiction for injunctive or other urgent relief, or from bringing a claim in small claims court. This arbitration agreement does not apply where the law that applies to you prohibits mandatory arbitration.
